Beta versions are provided ‘as is’, may contain bugs, errors or other defects, and your use of a Beta version is at your sole risk.

SECTION 7 – RESPONSIBILITY FOR END USERS
You are responsible for the activities of all End Users who access or use the Services through your account, and you agree to ensure that any such End User will comply with the terms of this Agreement and any Unifi Link policies. Unifi Link assumes no responsibility or liability for violations. If You become aware of any violation of this Agreement in connection with the use of the Services by any person, please contact Unifi Link at support@unifi.link. Unifi Link may investigate any complaints and violations that come to its attention and may take any (or no) action that it believes is appropriate, including, but not limited to issuing warnings, removing the Content or terminating accounts and/or User profiles. Under no circumstances will Unifi Link be liable in any way for any data or other Content viewed while using the Services, including, but not limited to, any errors or omissions in any such data or Content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any data or Content.

SECTION 8 – PROHIBITED USE
You agree that You will not use, and will not permit any End User to use, the Services to: (i) modify, disassemble, decompile, prepare derivative works of, reverse engineer or otherwise attempt to gain access to the source code of the Services; (ii) knowingly or negligently use the Services in a way that abuses, interferes with, or disrupts Unifi Links networks, Your accounts, or the Services; (iii) engage in an activity that is illegal, fraudulent, false, or misleading, (iv) transmit through the Services any material that may infringe the intellectual property or other rights of third parties; (v) build or benchmark a competitive product or Service, or copy any features, functions or graphics of the Services; or (vi) use the Services to communicate any message or material that is harassing, libellous, threatening, obscene, indecent, would violate the intellectual property rights of any party or is otherwise unlawful, that would give rise to civil liability, or that constitutes or encourages conduct that could constitute a criminal offense, under any applicable law or regulation; (vii) upload or transmit any software, Content or code that does or is intended to harm, disable, destroy or adversely affect the performance of the Services in any way or which does or is intended to harm or extract information or data from other hardware, software or networks of Unifi Link or other users of Services; (viii) engage in any activity or use the Services in any manner that could damage, disable, overburden, impair or otherwise interfere with or disrupt the Services, or any servers or networks connected to the Services or Unifi Link’s security systems. (ix) use the Services in violation of any Unifi Link policy or in a manner that violates applicable law, including but not limited to anti-spam, export control, privacy, and anti-terrorism laws and regulations and laws requiring the consent of subjects of audio and video recordings and You agree that You are solely responsible for compliance with all such laws and regulations.

SECTION 9 – PRODUCTS OR SERVICES (if applicable)

We have made every effort to display as accurately as possible the colours and images of our products that appear at the store. We cannot guarantee that your computer monitor’s display of any colour will be accurate.

We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Unifi Link reserves the right to review and update call rates and other service charges at their discretion with or without notification to the clients of such changes.

SECTION 10 – PAYMENT TERMS
All accounts are prepaid unless otherwise agreed with Unifi Link.

Offering payment terms to clients is at the discretion of Unifi Link.

In the event that clients have been granted payment terms, Unifi Link reserves the right to move the post paid accounts to prepaid within 72 hours of account being stated as overdue. Once account is transferred to prepaid, the outstanding balance needs to be paid in full and the account credited to resume access to full services.

It is the responsibility to the client to ensure that contact details are kept up to date with Unifi Link for their accounts department.

SECTION 11 – ACCURACY OF BILLING AND ACCOUNT INFORMATION
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per organisation, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

Billing and Invoicing. Unifi Link will bill You on behalf of Unifi Link based on the Charges set forth on the Orders or Purchase requests. No adjustment will be made, or credit or refund given.

Taxes. You acknowledge and agree that Unifi Link’s Connector Services are subject to certain Taxes and Fees. Accordingly, Unifi Link shall invoice You for Taxes and Fees associated with the Charges.

SECTION 12 – EQUIPMENT
Unifi Link does not supply any devices or other equipment used in connection with Your PBX or other services, and accordingly, Unifi Link does not provide any guarantees as to the quality or operability of such Devices and equipment when used to access Unifi Link Services.

SECTION 13 – MANAGED DOMAINS
To interoperate your PBX or other services to other requested Services, an intermediary system called a Session Border Controller (“SBC”) will be used. In the event Unifi Link provides this SBC You will use a subdomain of Unifi Link or it’s Affiliates and its wildcard SSL certificate to maintain encrypted communication into the Services which could including depending on service request Microsoft Azure cloud where Office 365 software resides. In the event you opt to use Your own domain and Your own SBC, Unifi Link will not provide domain management services or SSL certification services.

SECTION 14 – CONNECTOR SERVICES
When Services are requested to be interlinked with other solutions, Unifi Link’s Connector services enable Enterprise customers to link their legacy phone systems (“PBX”) to interact with if relevant Microsoft Teams enterprise collaboration and communication software or any other third party providers as requested by the client.

SECTION 15 – OPTIONAL TOOLS
We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.

You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

Any use by you of the optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).

We may also, in the future, offer new Services and/or features through the website (including the release of new tools and resources). Such new features and/or Services shall also be subject to these Terms of Service.

Certain content, products and Services available via our Service may include materials from third-parties.

Unifi Link and/or its suppliers, as applicable, retain ownership of all proprietary rights in the Services and in all trade names, trademarks, service marks, logos, and domain names (“Unifi Link marks”) associated or displayed with the Services. You may not frame or utilise framing techniques to enclose any Unifi Link marks, or other proprietary information (including images, text, page layout, or form) of Unifi Link without express written consent. You may not use any meta tags or any other “hidden text” utilising Unifi Link Marks without Unifi Link’s express written consent.

SECTION 18 – USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS
If, at our request, you send certain specific submissions (for example contest entries) or without a request from us, you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, ‘comments’), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments.

In no case shall Unifi Link, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, Service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the Service or any products procured using the Service, or for any other claim related in any way to your use of the Service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Service or any content (or product) posted, transmitted, or otherwise made available via the Service, even if advised of their possibility. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL UNIFI LINK OR ITS AFFILIATES, SUPPLIERS OR RESELLERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, EXEMPLARY OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS OR DAMAGE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICES OR THE PROVISION OF OR FAILURE TO PROVIDE TECHNICAL OR OTHER SUPPORT SERVICES, WHETHER ARISING IN TORT (INCLUDING NEGLIGENCE) CONTRACT OR ANY OTHER LEGAL THEORY, EVEN IF UNIFI LINK, ITS AFFILIATES, SUPPLIERS OR RESELLERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, UNIFI LINK’S, ITS AFFILIATES’, SUPPLIERS’ AND RESELLERS’ MAXIMUM CUMULATIVE LIABILITY AND YOUR EXCLUSIVE REMEDY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SERVICES (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT OR CIRCUMSTANCES GIVING RISE TO SUCH CLAIMS. Because some states and jurisdictions do not allow the exclusion or limitation of liability, the above limitation may not apply to You.

SECTION 23 – SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 24 – NO HIGH RISK USE
The Services are not designed or licensed for use in hazardous environments requiring fail-safe controls, including without limitation operation of nuclear facilities, aircraft navigation/communication systems, air traffic control, and life support or weapons systems.

The Services shall not be used for or in any HIGH RISK environment.

SECTION 25 – EXPORT RESTRICTIONS
You acknowledge that the Services or portions thereof may be subject to the export control laws or trade sanction laws of the jurisdiction in which you operate (“Export Control and Sanctions Laws”). You and your End Users may not access, use, export, re-export, divert, transfer or disclose any portion of the Services or any related technical information or materials, directly or indirectly, in violation of any applicable export control or trade sanctions law or regulation. You represent and warrant that (i) You and your End Users are not citizens of, or located within, a country or territory that is subject to U.S. trade sanctions or other significant trade restrictions (including without limitation Cuba, Iran, North Korea, Syria, and the Crimea) and that you and your End Users will not access or use the Services, or export, re-export, divert, or transfer the Services, in or to such countries or territories; (ii) You and your End Users are not identified on any U.S. government restricted party lists (including without limitation the U.S. Treasury Department’s List of Specially Designated Nationals and Blocked Persons and Foreign Sanctions Evaders List, U.S. Department of Commerce’s Denied Parties List, Entity List, and Unverified List, and the U.S. Department of State proliferation-related lists); and (iii) that no Content created or submitted by You or your End Users is subject to any restriction on disclosure, transfer, download, export or re-export under the Export Control Laws. You are solely responsible for complying with the Export Control Laws and monitoring them for any modifications.

SECTION 26 – TERMINATION OF AGREEMENT
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

If you have purchased a Service for a specific term, such termination will be effective on the last day of the then-current term. Your Renewal Term will begin automatically unless either Party provides notice of termination at least thirty (30) days prior to the commencement of the next Renewal Term. If You fail to comply with any provision of this Agreement, Unifi Link may terminate this Agreement immediately and retain any fees previously paid by You. To terminate services a formal request needs to be sent to support@unifi.link giving intention and specific instructions on the service being terminated with the minimum notice period communicated inline with this agreement or any specific formal notice terms agreed to between Unifi Link and the client . Upon any termination of this Agreement, You must cease any further use of the Services. If at any time You are not happy with the Services, Your sole remedy is to cease using the Services and send an email to support@unifi.link stating the intention where our team will process the request.

SECTION 27 – ENTIRE AGREEMENT
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and governs your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

SECTION 28 – GOVERNING LAW
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Ireland.

SECTION 29 – BINDING ARBITRATION AND CLASS ACTION WAIVER
A dispute is any controversy between You and Unifi LINK concerning the Services, any software related to the Services, the price of the Services, Your account, marketing, or communications, Your purchase transaction or billing, or any term of this Agreement, under any legal theory including contract, warranty, tort, statute, or regulation, except disputes relating to the enforcement or validity of Your or Unifi Link’s intellectual property rights. As part of the best efforts process to resolve disputes, and prior to initiating arbitration proceedings, each Party agrees to provide notice of the dispute to the other Party, including a description of the dispute, what efforts have been made to resolve it, and what the disputing Party is requesting as resolution, to legal@unifi.link.com.

Small Claims Court Available. You may initiate an action in your local Small Claims Court if You meets the court’s requirements.

However, if such a claim is transferred, removed or appealed to a different court, Unifi Link reserves the right to require arbitration. Arbitration Procedure.

Disputes not resolved shall be resolved through arbitration. The Arbitrator will be selected at the discretion of Unifi Link and will meet the general guidelines as stipulated under Arbitrator Ireland. Requirement to File Within One Year. Notwithstanding any other statute of limitations, a claim or dispute under this Agreement must be filed in Small Claims Court or noticed for arbitration within one year of when it could first be filed, or such claim will be permanently barred.
